1. Acceptance of Terms

By accessing or using Realvory ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Microreal.

2. Service Description

Realvory is a data analytics platform that provides:

• AI-generated property analysis and scoring ("Smart Scores") for UAE real estate listings
• Estimated rental yield calculations, price comparisons, and risk assessments
• Search, filter, and favourites tools for property exploration
• Saved search alerts and notifications

All information, scores, and insights provided by the Platform are generated using artificial intelligence and computational models. They are intended for informational and educational purposes only.

3. No Financial, Investment, or Real Estate Advice

Realvory does not provide financial advice, investment advice, legal advice, tax advice, or real estate brokerage services.

Specifically, we do NOT:

• Recommend the purchase, sale, or holding of any property
• Guarantee any returns, rental yields, or capital appreciation
• Act as, or represent ourselves as, a licensed real estate broker, agent, or financial advisor
• Negotiate, facilitate, or participate in property transactions
• Provide valuations or appraisals

Smart Scores and all other metrics are AI-generated estimates based on publicly available data and proprietary models. They should not be relied upon as the sole basis for any investment decision. You should always conduct your own due diligence and consult qualified, licensed professionals (real estate agents, financial advisors, legal counsel) before making any investment decisions.

4. Accuracy and Limitations of Data

While we strive to provide accurate and up-to-date information, we make no warranties or representations regarding:

• The accuracy, completeness, or timeliness of any listing data, scores, or insights
• The availability or current status of any property listing
• The accuracy of estimated rental yields, price comparisons, or risk assessments
• Whether any property is still available for sale or rent

Property data may be delayed, incomplete, or contain errors. Listing information may change without notice. All projections and estimates are hypothetical and based on historical and current data that may not reflect future conditions.

5. User Accounts and Responsibilities

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activity that occurs under your account
• Use the Platform only for lawful purposes and in compliance with these Terms

You must not:

• Share your account credentials with third parties
• Use the Platform for any illegal or unauthorised purpose
• Attempt to reverse-engineer, decompile, or extract source code from the Platform
• Scrape, crawl, or use automated tools to extract data from the Platform
• Interfere with or disrupt the Platform's infrastructure or security
• Resell, redistribute, or commercially exploit Platform data or insights without written consent

6. Subscriptions and Payments

Realvory offers free and paid subscription tiers. For paid subscriptions:

• Subscriptions are billed in advance on a recurring monthly basis
• Payment is processed securely through Paddle, our third-party payment provider
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• Fees are non-refundable unless otherwise required by applicable law
• We reserve the right to change pricing with reasonable notice

Paddle's terms and privacy policy apply to payment processing. We do not store your full payment card information.

7. Intellectual Property

All content, features, functionality, design, branding, algorithms, Smart Score methodology, and software on the Platform are owned by Microreal and protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on our content or technology without prior written consent.

Your use of the Platform does not grant you any ownership rights in any content, data, or materials you access.

8. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or content. We are not responsible for:

• The content, accuracy, or availability of third-party sites
• Any transactions you enter into with third parties
• The privacy practices or terms of third-party services

Your use of third-party services is at your own risk and subject to their terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Microreal shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform
• We are not liable for any investment decisions, financial losses, or property transactions made based on information provided by the Platform
• Our total liability to you for any claims arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Indemnification

You agree to indemnify and hold harmless Microreal, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Non-payment of subscription fees

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) will continue to apply.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or by email. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
